1. Scope and acceptance
1.1 These Terms govern use of erudite.co.za, its free assessment, forms, articles and downloads (the "Site"). By using the Site, you agree to the version displayed at that time.
1.2 A proposal, booking or consulting engagement has separate terms. These Terms do not amend a signed agreement.
1.3 If you use the Site for an organisation, you warrant that you may submit its information. You must not submit another person's confidential or personal information without authority.
2. Information and free assessment
2.1 Site content and assessment results provide general AI-governance and technology-risk information. They do not provide legal advice, a legal opinion, an audit, a professional certification or a finding of compliance.
2.2 A free assessment uses the answers supplied and the scoring version stated in the result. Missing, inaccurate or simplified answers affect the result. Erudite may change the method for future assessments and will identify the version where the Site retains a result.
2.3 You must obtain legal, security, employment, insurance or sector advice before acting on a material issue. Do not delay an incident response or statutory notice while waiting for a Site result. Clause 7 sets out the liability position for the Site and the free assessment.
3. Accounts, forms and communications
3.1 You must provide accurate information, keep any login or access link secure and tell Erudite at suvan@erudite.co.za about suspected misuse.
3.2 A contact request permits Erudite to answer that request. It does not by itself provide consent for unrelated electronic direct marketing. Erudite's Privacy Statement explains marketing choices and how personal information is handled.
3.3 Erudite may reject a submission that is abusive, unlawful, automated, misleading or outside the Site's purpose.
4. Intellectual property and downloads
4.1 Erudite or its licensors own the Site, assessment method, text, designs, software, trade marks and materials, subject to third-party rights.
4.2 Unless a download states different terms, Erudite grants you a non-exclusive, revocable licence to use it for personal learning or your organisation's internal business. You may adapt it for that organisation, but may not sell, publish or distribute it as a template product, remove notices, misrepresent authorship, scrape the Site or use protected content to train a model.
4.3 You retain information that you submit. You grant Erudite a limited licence to process it for the purpose described in Erudite's Privacy Statement.
5. Acceptable use
You must not:
- probe or bypass security, access non-public areas or another person's data;
- disrupt, overload or automate submissions outside a written integration agreement;
- introduce malware, unlawful content or personal information that the form does not request;
- impersonate a person or misstate authority; or
- use the Site in a way that infringes rights or law.
Erudite may restrict access to protect the Site, a person or an investigation. It will give reasons where doing so creates no security or legal risk.
6. Third-party services and availability
6.1 The Site may link to or use third-party hosting, analytics, payment, scheduling, video or communication services. Their terms may govern your direct use. Erudite does not endorse external content merely by linking to it.
6.2 Erudite may maintain, change or withdraw free Site features. It does not promise uninterrupted availability or that the Site will suit a specific device. A paid service remains subject to its agreement and mandatory service-quality rights.
7. Liability
CONSPICUOUS TERM. Read this clause. It limits what you can recover from Erudite for your use of the Site and the free assessment.
7.1 What the free assessment is. The free assessment is an indicative, informational tool. It applies a published scoring method to the answers you supply. It is not legal advice, a legal opinion, an audit, a certification, a finding of compliance, a risk assessment for the purposes of any statute, or a substitute for professional advice on your circumstances. Erudite does not verify your answers and does not know your organisation. A result is an indication of where to look, not a conclusion about where you stand.
7.2 You decide what to do with it. You remain responsible for any decision you take, or do not take, after using the Site or receiving an assessment result. Before acting on a material issue you must obtain legal, security, employment, insurance or sector advice on your own facts, and you must not delay an incident response or a statutory notification while waiting for a Site result.
7.3 The Site is free and is supplied as it stands. Erudite supplies the Site and the free assessment without charge and without any warranty that they are accurate, complete, current, uninterrupted, error-free or fit for a particular purpose, to the extent that law permits a supplier to say so. Erudite may change, suspend or withdraw a free feature.
7.4 What Erudite is not liable for. To the extent that law permits, Erudite is not liable for:
- loss caused by your reliance on a free indicative result as a legal, audit or compliance conclusion, or as a reason to act or not to act;
- loss caused by answers that were missing, inaccurate, out of date or simplified, or by circumstances the assessment did not ask about;
- indirect, special or consequential loss, or loss of profit, revenue, anticipated savings, data, business or goodwill, however arising;
- a regulatory finding, penalty or third-party claim against you; or
- interruption of, or a defect in, a free Site feature or a third-party service the Site links to or uses.
7.5 Overall limit. Where Erudite is liable to you despite clauses 7.1 to 7.4, its total aggregate liability for all claims connected with your use of the Site and the free assessment is limited to R5 000.
7.6 What this clause does not do. Nothing in this clause excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by Erudite's negligence, a right you have under the CPA that a supplier may not exclude or limit, or any other liability that law does not permit Erudite to limit. Gross negligence means conduct involving a serious or substantial departure from the standard of care reasonably required in the circumstances, assessed in accordance with applicable South African law. Where the CPA applies to your use of the Site, liability for gross negligence is not subject to clauses 7.4 or 7.5 to the extent that section 51 of the CPA prohibits such exclusion or limitation.
7.7 Paid Services are separate. This clause governs free Site use only. Where Erudite supplies Services under a signed agreement, that agreement's liability clause governs those Services, and nothing in this clause 7 reduces the liability Erudite accepts there or the rights that agreement gives you.
8. Complaints, law and changes
8.1 Send a Site complaint to hello@erudite.co.za. Erudite will acknowledge it within [5] Business Days.
8.2 South African law governs. A competent South African court may hear a dispute. You may use a regulator or other forum available under mandatory law.
8.3 Erudite may publish a new dated version. A new version governs later Site use and does not change a signed engagement or an accrued right.
8.4 Business Day means a day other than a Saturday, Sunday or South African public holiday.
